TERMS AND CONDITIONS

  1. All goods sold by ALANI HIGIENE PROFESIONAL SL ("Alani SL") are subject to the following conditions which shall apply to the exclusion of the conditions of order or purchase of the customer or any other standard, specification or details of or adopted by the customer. No modifications, alterations or attempt to override these conditions shall be binding on Alani SL unless agreed, in writing, by a director of Alani SL. 
  2. Subject to credit being approved and, unless expressly agreed by Alani SL, in writing, payments are due for 30 days net monthly from the date of invoice. 
  3. Prices are net prices and do not include VAT. Where VAT is charged it will be at the appropriate rate. All accounts must be paid in full. Any charges deducted from payments by the bank to customers of another financial institution will be payable in full by the customer. Alani S.L. will not accept any regardless of what right arises by the customer to create any claim against the amounts owed to the customer by Alani SL.
  4. Where deliveries are spread over a period each consignment shall be invoiced as shipped and invoices for each month shall be treated as a separate account and paid accordingly. Failure to pay for goods or for any delivery or installation shall entitle Alani SL to suspend further deliveries in the same order or in any order, without prejudice to any other rights Alani SL may have. Alani SL reserves the right to charge interest on overdue accounts at a rate of 2% per month.
  5. Goods shall be invoiced at the price ruling at the date of the order, unless otherwise agreed in writing. All prices and offers are subject to modification or deletion by Alanos SL at any time prior to the actual receipt of an order for goods referred to therein. Clerical errors are subject to correction.
  6. Invoice queries must be submitted in writing within seven days of receipt. Credit for subsequent claims cannot be granted. 
  7. Orders remain valid and binding despite late delivery. Alani S.L. shall not be liable for any delay in delivery or non-delivery. 
  8. Under no circumstances shall ALANI SL be liable for any loss suffered by the customer whether as a result of breach of contract by ALANI SL or otherwise. 
  9. Delivery will be by the transport of choice Alani SL. If the customer requests special delivery arrangements we will charge extra.
  10. Claims for delivery shall not be notified to Alani SL in writing if the goods are not received within the delivery time and have not been given the reason for the delay by the carrier or Alani SL. Claims for damages of any performance or partial, must be notified to Alani SL within 24 hours after receipt of the goods. No liability is accepted by Alani SL for any claims that do not follow the above procedure and failure to adapt the relevant delivery documents accordingly.
  11. The risk of loss or damage of the goods passes to the customer upon delivery to the customer's premises, or when the goods are suitable for the customer, but kept the premises Alani SL, at the request of the customer. The costs of storage, insurance or demurrage shall be borne by the customer.
  12. Title to goods: the legal and equitable ownership of the goods shall remain with Alani SL until payment of all amounts due to the customer's ALANI SL on all accounts whatsoever have been received in full. At any time prior to full payment (whether or not payment if then delayed) Alani SL, without prejudice to any other rights, retake possession of the goods or part of it and may enter the customer's premises by its employees or agents for that purpose. The customer has the right to sell the goods in the exercise of his profession on behalf of Alani SL, but the conditions of warranties on the representation given or made by the customer to a third party shall not be binding on Alani SL who shall be indemnified by the customer in respect thereof and pass a good title to the goods to his customer being a bonded buyer to the value without notice of the rights Alani SL. In the event of such re-sale the customer has a fiduciary duty to Alani SL of the proceeds, but may not retain from any excess of such proceeds more than the amount outstanding under this contract of sale or otherwise between them, Alani SL has the further right to recover the price from the customer directly from the customer from the customer to the extent unremunerated. If ALANI SL avails itself of such right, ALANI SL shall account to the customer for any excess as aforesaid, less the expenses incurred by ALANI SL in respect of such recovery. Alani S.L. reserves the right to modify the specifications of any product it manufactures.
  13. Returns. Goods that require to be returned to the ALANI SL can only be returned with the express agreement of Alani SL. Proof of this is the allocation of a date and number of returns of goods. Failure to comply with this procedure may result in a delay in the credit being issued or not at all. 
  14. Force Majeure: ALANI SL shall have the right to cancel or delay deliveries or reduce the quantity of products delivered and shall in no event be liable for failure or delay in the execution of performance of a contract or otherwise be unable to fulfil its obligations. 
  15. Alani, S.L. shall not be liable to the customer for: a. For defects in the goods supplied caused by negligence or fault of the customer or any third party. b. For any other defect in the goods not provided for in letter a.) of this Clause provided it is not notified to Alani, S.L. within 72 hours after delivery of the goods to the customer, except in the case of a latent defect in Alani SL shall not be liable unless such defects are notified to Alani SL within 10 days of the customer being aware of this defect. 
  16. Alani S.L. aggregate liability in respect of any event or succession of events for which the customer, whether through negligence, breach of contract or otherwise shall in no event exceed the cost of those goods in respect of which the occurrence of the credit.
  17. Termination: ALANI SL may, without prejudice to any of its rights, stop any goods in transit and / or suspend further deliveries and further provision of services and / or by written notice to the customer, determine the contract. 

  • If the customer enters into a Trust Deed by his or her creditors or a Deed of Arrangement or commits an act of bankruptcy or insolvency or compounds with his or her creditors, or 
  • b. If (being a company) an order is made or a resolution is passed approving the winding up of the client's property, or 
  • If a receiver takes charge of the assets of the client or company, or 
  • If the customer makes or is the subject of an action or analogous proceeding under foreign law on account of the debt or commits a breach of this or any other contract between Alani SL and the customer, or 
  • If the customer fails to pay any sum on the date or in any other way whatsoever breaches that or any other contract with Alanos SL. 

19. Submission to Spanish law: Any dispute relating to the interpretation of these Conditions of Sale shall be subject to Spanish law and the customer submits to the exclusive jurisdiction of the Spanish Courts and Tribunals.
